Different purpose, different audience

Statutory audit is a legal requirement — an independent examination of the financial statements, resulting in an opinion on whether they present a true and fair view, filed with the Registrar of Companies and relied on by shareholders, lenders, and regulators.

Internal audit is a management tool — a review of processes, controls, and risk areas, intended to help the business itself operate better, not to produce a public-facing opinion. It reports to management or the audit committee, not to external stakeholders.

What each one actually looks at

Statutory audit is focused on whether the year-end financial statements are materially accurate. Internal audit is broader and more operational — it might review procurement controls, inventory management processes, IT access controls, or compliance with internal policies, entirely independent of whether those areas affect the year-end numbers.

Timing

Statutory audit happens once a year, after year-end. Internal audit is typically continuous or periodic throughout the year — quarterly reviews are common — precisely because its value comes from catching and fixing issues while there's still time to act, not from a single year-end snapshot.

Who needs internal audit

Internal audit is mandatory for certain classes of companies under the Companies Act (based on criteria like turnover, borrowings, or public deposits), but many businesses below those thresholds choose to have one anyway — the operational insight it provides is often valuable independent of any legal requirement, especially as a business scales and founders can no longer personally oversee every process.

They complement, not duplicate, each other

A business with a strong internal audit function often has a smoother, faster statutory audit, since many of the control weaknesses that would otherwise surface as statutory audit queries have already been identified and addressed during the year.
