What FC-GPR reports
Form FC-GPR (Foreign Currency-Gross Provisional Return) is the filing through which an Indian company reports the issue of shares (or other eligible securities) to a foreign investor, once that investment has been received and shares have been allotted. It's filed with the RBI through the FIRMS portal.
The general sequence
- Foreign investment is received into the company's bank account, and a KYC/reporting requirement is triggered with the bank at receipt
- The company allots shares to the foreign investor within the prescribed timeline from receipt of funds
- FC-GPR is filed reporting the allotment, along with supporting documents — valuation certificate, board resolution, and other prescribed filings
- The filing is processed and, once accepted, closes out the reporting obligation for that tranche of investment
Documents typically required
- Valuation certificate supporting the issue price (from a Chartered Accountant, Merchant Banker, or Registered Valuer, depending on the applicable requirement)
- Board resolution approving the allotment
- Foreign Inward Remittance Certificate (FIRC) / KYC report from the bank
- Company's incorporation and shareholding documents
What commonly causes delay or a compounding situation
- Allotting shares after the prescribed window from receipt of funds without a valid reason
- Filing FC-GPR late relative to the allotment date
- Valuation certificates that don't align with the actual issue price or aren't from an eligible valuer
If a delay has already occurred, it doesn't resolve itself by simply filing late — depending on how late, a compounding application may be the appropriate next step to regularise the position.
